DUNN COUNTY FISH AND GAME ASSOCIATION, INC.
BYLAWS
(Revised 2007)
ARTICLE I - Name
The name of this organization shall be Dunn County Fish and Game
Association, Inc.; hereinafter referred to as the “Club”.
ARTICLE II - Objectives
Objectives of conservation shall be:
A. To support wildlife conservation programs and to assist wildlife
management programs.
B. To strengthen landowner-club cooperation and understanding.
C. To support fishing, hunting and other recreational skills that are in
harmony with the sport and proper conservation practices.
D. To forward the development of characteristics of honesty, good
fellowship, self-discipline, team play and self-reliance which are the
essentials of good sportsmanship and the foundation of true patriotism.
E. To acquire property for conservation purposes.
Objectives of hunting and shooting shall be:
A. To promote hunter safety both in archery and firearms.
B. To encourage the practice of good sportsmanship and compliance with
local, state and federal game laws.
C. To encourage pistol, shotgun and rifle shooting among citizens of the
United States residing in our county, with a view toward a better
knowledge on the part of such citizens of the safe handling and proper
care of firearms, as well as improved marksmanship.
ARTICLE III - Membership
Any citizen or legal resident of the United States may become a member of this
organization by affirming to the following pledge and code of ethics; and, on
payment of the annual dues. Youth members may be enrolled and participate in
club activities under the supervision of adult members, at a membership cost of
$1.00 per year until age 16. Adult membership begins at age 16.
Pledge
I certify that I am a citizen or legal resident of good repute of the United
States of America; that I am not a member of any organization or group
having as its purpose or one of its purposes the overthrow by force and
violence of the Government of the United States or any of its political

subdivisions; that I have never been convicted of a crime of violence; and
that I will fulfill the obligations of good sportspersonship and good
citizenship.
Code of Ethics
I will consider myself an invited guest of the landowner, seeking his/her
permission, and so conducting myself that I and others may be welcome in
the future.
I will obey the rules of safe weapon handling and will courteously but
firmly insist that others do the same.
I will obey all game laws and regulations and will insist that my
companions do likewise.
I will do my best to acquire those marksmanship and hunting skills
which assure clean, ethical kills.
I will support conservation efforts which can assure good hunting and
fishing for future generations of Americans.
I will pass along to youth the attitudes and skills
essential to a true outdoor sportsperson.
ARTICLE IV - Dues
A. The annual year for membership is January 1st through December 31st.
The member’s annual dues to the Club shall be paid no later than March 31st of
each year. New member dues paid after October 1st shall be applied to the
following year.
B. No member of the Club in arrears shall be eligible to vote or to enjoy any
of the other privileges or benefits offered by the Club as determined by the Board
of Directors.
C. Dues may be adjusted at the annual meeting. A two-thirds vote of the
members present will be necessary to pass the adjustment.
ARTICLE V - Meetings
A. Annual meeting - The annual meeting of the Club shall be held in lieu of
the regular meeting on the fourth Monday in December. If in conflict with a
holiday, the date may be changed by a member vote at the November regular
meeting. Newly elected officers will take office January 1st, and conduct the
meeting in January. The amount of dues shall be set at the Annual meeting and

election of officers and board members shall take place. The treasurer shall
present an annual report.
B. Regular meetings - The regular meeting of the Club for the transaction
of ordinary business shall be held on the fourth Monday of each month at the
clubhouse.
C. Special Meeting - A special meeting of the Club may be held at any time
upon the call of the President or upon the call of the Executive Committee, or
upon demand in writing, stating the object of the proposed meeting, and signed by
not less than 20% of the members entitled to vote. Notice of the time, place and
object of any special meeting shall be given to all officers, board of directors and
members in good standing by mail, fax, telephone or radio announcement not less
than seven (7) days prior to the date fixed for holding the meeting. The place of
such meeting shall be determined by the Executive Committee.
D. Quorum - All members in good standing and present at the meetings
entitled to vote shall constitute a quorum at any meeting.
ARTICLE VI - Officers and Board of Directors
A. The officers of the Club shall be President, 1st vice-president, 2nd vicepresident,
3rd vice-president, Secretary and Treasurer. They shall be elected by a
majority vote of the members in good standing at the Annual meeting of the Club.
All officers must be 21 years of age or older. The Secretary and Treasurer shall
be elected for a period of one year. The 3rd vice-president shall be elected for a
period of one year; then, progress to 2nd Vice- President the second year; then,
progress to 1st Vice President the third year; and then, the fourth shall be
President of the Club.
B. The Board of Directors of the Club shall constitute six (6) members in
good standing. They shall be elected for a period of three (3) years. They shall
be elected by a majority vote of members in good standing at the annual meeting
of the Club. Each year, two (2) members shall be elected to the Board. Also, the
immediate Past-President shall be an ex officio member of the Board.
C. Acting together, the officers and Board of Directors shall constitute the
Executive Committee.
D. The Executive Committee shall have general supervision and control of all
of the activities of the Club. The Executive Committee may make agreements
with other organizations and individuals to carry out the objectives of the Club.
E. Meetings of the Executive Committee shall be held regularly at such time
and place as the Committee may determine. Special meetings may be held at any

time on the call of the President or on demand, in writing, to the Secretary, by
three members of the Committee.
F. Seven (7) members of the Executive Committee shall constitute a
quorum.
G. Resignation of any officer or director may be accepted by a majority
vote of the remaining members of the Executive Committee.
H. A vacancy in the Executive Committee shall be filled by an election of
the general membership in good standing at the next regular business meeting.
ARTICLE VII - Duties
A. President. The President shall preside at all meetings of the Club and of
the Executive Committee. He/She shall be an ex officio member of all standing
and special committees, and shall perform all such other duties as usually pertain
to his/her office.
B. Vice-president(s). The vice-presidents shall perform the duties of the
President in his/her absence or at his/her request.
C. Secretary. He/She shall keep a true record of all meetings of the
Executive Committee and of the Club and have custody of the books and papers
of the Club, except the Treasurer’s book of accounts.
D. Treasurer. The Treasurer shall have charge of all funds of the Club and
place the same in such bank or credit union as may be approved by the Executive
Committee. Such money shall only be withdrawn by check signed by the
President and Treasurer and for the payment of such bills as shall have been
approved by the general membership or Executive Committee. The treasurer
shall keep accurate account of all his/her transactions and render a monthly report
at all regular meeting s and an annual report to the organization at its annual
meeting. The President shall annually appoint a three-member audit committee
for the purpose of reviewing the treasurers records prior to the annual meeting.
The treasurer shall be bonded by the club.
ARTICLE VIII - Committees, Projects, Events and Education Programs
A committee is a group of membership volunteers that band together to
accomplish designated responsibilities of the Club under the direction of the
Executive Committee. The President shall appoint chairpersons of the standing
committees annually at the beginning of the business year. Upon review by the
Executive Committee and scrutiny of the By Law definitions, a special
committee, project, event or education program could become a standing
committee.

A standing committee is one which operates with a chairperson on a continuing
year to year basis to perform activities for the continuing operation of the Club. It
is reviewed for appropriateness on an every three year basis to determine if it is
appropriate and applicable to the Club’s continuing operation. Examples of the
standing committees are: Annual Banquet, Bartending, Building and Grounds,
Chicken Dinner, Ice Fishing Contest, Legislative, Menomonie Deer Herd,
Pheasant Rearing/Stocking, Public Relations/Memorials, Rifle Range,
Membership, Kitchen and Youth. The Youth Committee may have as many sub
committees as approved by the executive committee.
A special committee is one that is appointed by the Executive Committee for a
specific purpose and is usually of one year duration or less. It is possible that a
special committee could be a standing committee, with approval of the Executive
Committee if it will support the on-going activities of the organization for
multiple years. Examples of a special committee may be for but not limited to a
building addition of existing facilities for the Club, Scholarship Committee,
Lutefisk Dinner or the acquisition of land.
A project is a function of the DCFGA but is not necessary for its continuing
operation. It usually targets a specific conservation related activity of the Club
and generally takes place on a one-time basis per year. Examples of projects are:
Bluebird Houses, Wood Duck Houses, Land Owner Appreciation Banquet,
Gilbert Creek Renovation, Winter Pheasant Feeding, Fish Stocking, Fish Cribs
and Hunters Against Hunger.
An event designed to promote recognition of or an opportunity to participate in a
one-time-per-year, special Club related activity that may or may not be primarily
related to conservation. Examples of events are: Disabled Fishing Event, Youth
Fishing, Youth Hunting, and Youth and Adult Muzzleloader Shoot.
An education program may or may not take place on an annual basis and may be
sponsored by the Club or conducted by a compliant organization sponsored by the
Club. An education activity is usually conducted for primary purpose to educate
for the safety of the participants of a specific event that may be conservation
related or required by law. Examples of education activities are: ATV Safety,
Boating Safety, Hunter Safety and Snowmobile Safety.
ARTICLE IX- Suspension or Expulsion
A. Any officer may be removed by a two thirds vote of the members in good
standing present at any special meeting called for the purpose. No vote on
suspension or removal may be taken unless at least fifteen (15) days notice in
writing shall have been given to the officer of the reasons for his/her removal and
of the time and place of the special meeting at which such ballot on his/her
removal is to be taken. At such meeting the officer shall be given a full hearing.

B. Any member may be suspended or expelled for any cause deemed
sufficient by a two thirds affirmative vote of the members of the Executive
Committee present at any regular or special meeting. No vote on suspension or
expulsion may be taken unless at least fifteen (15) days notice in writing shall
have been given to the member of the charges and of the time and place of the
meeting of the Executive Committee at which such charges will be considered.
At such meeting the member under charges will be accorded a full hearing.
C. Charges against any officer or member may be presented by any
member in good standing. They shall be in writing clearly stating the facts
relied upon and accompanied by all affidavits or exhibits which are to be used
in their support. Such charges shall be filed with the Secretary, who will
immediately notify the President. The President will call a meeting for the
Executive Committee to hear the charges. The secretary will give at least fifteen
(15) days notice to each member of the Executive Committee, to the accuser and
to the accused, which notice shall be in writing and will include a true copy of the
charges and of the supporting affidavits and exhibits.
D. Any member suspended or expelled by the Executive Committee may
appeal to the full membership of the Club. Such appeal shall be made to the
Secretary who will notify the President. The President will call a special
meeting of the Club for the purpose of acting upon the appeal. The secretary
shall give at least fifteen (15) days notice in writing to all members in good
standing stating the date, time, place and reason for such special meeting. At
the meeting of the full Club, the Secretary shall read the original charges, the
supporting affidavits, and will read or display the accompanying exhibits, and
will read the minutes of the special meeting of the Executive Committee at
which the charges were heard and action was taken. A full hearing will be
given to the accuser and the accused. A vote will be taken by ballot of the
members in good standing present and a two thirds vote will be taken to reverse
the action taken by the Executive Committee.
ARTICLE X - Amendments
Any proposed amendments to these bylaws may be introduced by any member
of the Club at any regular meeting or special meeting called for the purpose.
A two thirds vote of the members present will be necessary to pass or reject it.
I hereby certify that these bylaws have been adopted by the Club.
Ammendment:
All requests for funding from outside of the organization must be taken to the Executive Committee for consideration. The Executive Committee shall make a recommendation for action to the general membership.
The Executive Committee may grant requests for funding from outside of the organization of $100 or less without the approval of the general membership.
Requests for funding motioned from the general membership without a recommendation from the Executive Committee that exceed $250 are to be tabled to the next regular meeting for a recommendation for action from the Executive Committee.
The Executive Committee shall recommend to the general membership those sponsorships of other organizations deemed worthy of sponsorship by the Dunn County Fish and Game Association Inc. . The Executive Committee shall also recommend to the general membership those organizations/groups seeking use of the Dunn County Fish and Game at no cost.
The Executive Committee shall approve Buildings and Grounds Committee expenditures necessary for the maintenance and improvements of the buildings and grounds.
